    ATC-SAA Partnership Sealed


    The Presidential Parastatal Sector Reform Commission (PSRC), acting on behalf of the Government of the United Republic of Tanzania, today signed three agreements with South African Airways for the divestiture of Air Tanzania Corporation (ATC).

    The two agreements are the share sale and purchase agreement and the shareholders agreement.

    PSRC’s Executive Chairman, Mr. John C. Rubambe, signed on behalf of the Tanzania Government while the President and Chief Executive Officer of South African Airways, Mr. Andre Viljoen, signed on behalf of his Airline at a ceremony which took place at the Holiday Inn in Dar es Salaam.

    After the agreements were signed, SAA was presented with a share certificate for 49% of the shares in ATCL and SAA has transferred USD 20 million, USD 10 million being the value of the shares and USD10 million for the Capital and Training Account to be held by ATCL at the Citi Bank in Dar es Salaam.

    In accordance with the agreement, SAA as a strategic partner takes over management control and will contribute financial, technical and managerial resources to enable ATCL to achieve its full market potential.

    The Government’s restructuring and privatisation strategy for ATC is to transfer the core operating assets of ATC to a newly formed company, Air Tanzania Company Limited (ATCL) and sell 49% of its shares to a strategic partner. Assets and liabilities not passed over to ATCL will be transferred from ATC to Air Tanzania Holding Corporation (ATHCO).

    SAA as the strategic partner will create Dar es Salaam as its East African hub as part of its strategy to form a “Golden Triangle” between Southern, Eastern and Western Africa.

    According to its business plan SAA will bring technical, commercial and managerial expertise into ATCL operations. It will also provide extensive training and transfer of skills to ATCL staff, including pilots and air crews. Air Tanzania Corporation had a total of 493 employees out of whom 243 have been retrenched and 250 have moved to ATCL.

    SAA intends to replace ATC’s current fleet with Boeing 737-800s; 737-200s and wide bodied 767-300s. The route structure will expand to cover regional routes including Entebbe, Kinshasa, Lusaka and Harare. Routes to the Middle East will also be introduced as well as to West Africa. International routes to London and Bombay are also planned. SAA will also consider expanding the domestic route services.

    The Government believes that the national carrier will greatly benefit from SAA’s planned activities and consequently the nation will enjoy much better air transport services, more routes, a more reliable service and greater frequency of flights.

    The Government intends to sell a further 10% of the ATCL shares to a Tanzanian investor and SAA will assist the Government to identify a suitable and acceptable investor within six months. So the shareholding will become 41% Government, 49% SAA and 10% the new Tanzanian investor.

    South African Airways has been identified as the successful bidder after conducting and concluding a competitive tender process. Transaction advice has been provided by a team led by the International Finance Corporation including international lawyers Clifford Chance, local lawyers IMMMA, and aviation specialists, Jacobs Consulting.

    The opportunity to express interest was advertised in both local and international media in February 2002. Eight airline companies expressed interest in becoming the strategic partner in the privatisation of ATC.

    The bidding documents were issued in May 2002, and the bidders- especially South African Airways and Kenya Airways – actively participated in the discussions including a bidders’ meeting held in August 2002 to finalise the transaction agreements before submitting the bid. The winning bidder was the one submitting compliant bid submissions with an acceptable technical submission and offering the highest evaluated financial offer for the shares.

    However, on the bid submission deadline of 19th September 2002 only South African Airways submitted its bid while Kenya Airways and Nationwide of South Africa informed PSRC that they did not intend to submit bids.

Tunasikia tu mara kiongozi kataka kuuza uwanja wa ndege, mara oooo, kiongozi huyo huyo anataka Mali za ATC zinunuliwe na Precision kwa bei cheee... Hii hali inaboa sana na ipo siku bongo kutawaka moto...

    Air Tanzania Company Limited (ATCL) is a Public- Private enterprise in which the Tanzanian Government owns 51% of the shareholding with the remaining 49% being owned by the strategic equity partner South African Airways (SAA).

    The airline is proud to be the national flag carrier of the United Republic of Tanzania with the broad mission to build a strong airline by developing profitable networks.

    Air Tanzania, formerly a parastatal organisation 100% owned by the Government of Tanzania, was privatised in December 2002.

    At the moment the aircraft fleet comprises

  4. Baada ya kuua ATC sasa wameamia TANESCO kila Rais anaanzisha kampuni yake binafsi ndani ya TANESCO. Mwinyi alikuja na IPTL; Mkapa-Net Group Solution, Na huyu rais msanii wa Hawamu ya 4 hata mwaka hajamaliza katoka na Richmond. Kampuni hewa inayopita duniani kote (USA and South Africa)kuokoteza Genereta chakavu na kuziamishia TZ. TANESCO ATCL zinauliwa na wanasiasa na sio Magagement mbovu.Kutuzuga na kashfa ya RICHMOND wanaanzisha mada ya Madawa ya kulevywa-Kama ni kweli mbona wahusika awawataji, au ni wafadhili wa CCM?

  5. Air Tanzania Company Limited (ATCL) ilianzishwa 2002 ili kuchukua nafasi ya lililokuwa shirika la Ndege la Tanzania, Air Tanzania Corporation (ATC) baada ya ubinafsishaji.
    02 Desemba, 2002 ATCL ilianza kazi rasmi chini ya menejimenti ya SAA

    Lengo kuu la South African Airways kuingia ubia na Serikali ya Tanzania na kununua asilimia 49 ya hisa za Air Tanzania Company Limited ilikuwa ni kutimiza mpango wa muda mrefu (Long term plan) ambao SAA imejiwekea wa kumiliki biashara ya usafiri wa anga katika eneo la kusini mwa Afrika.
    Bila ya kujua lengo hilo, serikali ya Tanzania kwa nia njema yakutaka kuimarisha shughuli za usafiri wa anga ndani na nje ya nchi na pia kuendeleza sekta hiyo, ndipo ilipokubaliana kuingia ubia na SAA.
    Azma ya SAA kumiliki soko la kusini mwa Afrika, inaonekana ilifanyiwa matayarisho mapema zaidi hata kabla ya ubinafsishaji wa ATCL. Ikumbukwe kwamba tayari SAA kupitia Alliance Air ilianzisha shughuli zake kama mshindani wa ATC na baadae kutaka kufanya mkataba wa kibiashara na ATC na Uganda Airlines, ambapo hatima yake ingekuwa ni kuuwa mashirika yote mawili.     Kwa mantiki hiyo Alliance Air iliundwa kwa kutimiza mbinu za SAA ya kutaka kuyaondoa mashirika mengine katika soko na kupisha SAA iweze kutawala kibiashara katika eneo la kusini mwa Afrika kama ilivyoazimia. (Pia angalia Zambia Airways na Royal Swazi Airline zilivyoondolewa katika biashara ya usafiri wa anga na SAA). Aidha kwa yale mashirika yaliooneka magumu kuyafuta yaliwekewa mikakati ya kutooendelea kukua au kuyafanya yawe feeders wa SAA. (Angalia ATCL, Zambian Express, Rwanda Express)
    Baada ya kushindikana kuia ATC kupitia Alliance Air, SAA walitumia mwanya wa ubinafsishaji wa ATCL kutimiza malengo yake, hivyo kufanya juhudi zote kuhakikisha wanashinda zabuni. Mpango wote huo ulikuwa unaandaliwa na SAA kupitia kitengo chao cha ‘Strategies & Alliances’ ambacho ni mahsusi kwa shughuli za ki-intelijensia, ambapo aliyekuwa Desk Officer wa mpango wote huo ni Mkurugenzi Mtendaji wa sasa wa ATCL akisaidiwa na Mkurugenzi wa Biashara wa ATCL kwa sasa. Kwa muda wote wa uhai wa ATCL kiongozi huyo ameendelea kuwekwa karibu kabisa na shughuli za kila siku za ATCL kama vile kuwa Mkurugenzi wa Bodi ya ATCL akiwakilisha maslahi ya SAA, na hatimaye Mkurugenzi Mtendaji wa ATCL.
    Ni kwanini kipindi chote hicho ameendelea kuwepo licha ya mabadiliko kadhaa yaliyotokea ndani ya SAA na ATCL?
    • Sababu kubwa ni kuwa , huyu ndiye mhimili mkubwa katika utekelezaji wa mpango mzima wa kuhakikisha SAA inafanikisha malengo yake iliyojiwekea katika ATCL. Yaani kuidhoofisha ATCL na hatimaye kuiondoa katika biashara ya usafiri wa anga.
    • Akiwa mhimili, alishiriki kikamilifu katika mchakato mzima wa kubuni na kuandaa mikataba iliyopo baina ya SAA na serikali ya Tanzania ambayo imechangia kuifikisha ATCL hapa ilipo.

    Mbinu zilizotumika kuidhoofisha ATCL
    • SAA kudhibiti mapato ya ATCL kwa asilimia 100
    o Kwa ATCL kulazimika kuacha kutumia tiketi zake na badala yake kutumia tiketi za SAA zenye Code 083.
    o Kuvunja kitengo cha udhibiti wa mapato (Revenue Accounting)
    o Mfumo wote wa mahesabu (General Accounting) kudhibitiwa na SAA badala ya ATCL yenyewe kama kampuni iliyosajiliwa kihalali ndani ya Jamhuri ya Muungano wa Tanzania.

    • Kuhamisha shughuli zote za matengenezo ya ndege makubwa na ya kati kufanyika Johannesburg, badala ya Dar es Salaam na hivyo kuwaacha wataalam wetu wa kizalendo kufanya shughuli ndogondogo tu.
    • Ukodishaji wa ndege (Aircraft Leasing) : ATCL imelazimika kukodi ndege katika vipindi tofauti kwa gharama za juu kulinganisha na bei ya soko na kwa mikataba migumu yenye maslahi zaidi kwa mbia SAA.
    o Kwa mfano ATCL kuendelea kulipia ndege ambayo ni mbovu na ipo South Afrika na kwa sasa ATCL haitumii na wala hakuna ‘replacement’
    o Kuilazimisha ATCL isikodi ndege kutoka nje ya SAA kama ni lazima basi kibali cha kukodi ndege kitolewe na SAA. (Angalia Deposit ya USD 300,000.00 pesa zilizotolewa na serikali mwaka jana kwa manunuzi ya ndege Boeing 757 zilivyopotea bila ya maelezo ya kutosha)

    • Udhibiti Kibiashara : Kuvuja kwa taarifa za siri za kibiashara ambazo zinampa uwezo zaidi mshindani (SAA) faida ya kuzitumia dhidi ya ATCL , kama vile kujua maeneo ambayo ndiyo nguzo muhimu za ATCL kimapato / kibiashara.
    o Kwa mfano SAA kuanzisha safari za moja kwa moja kati ya Johannesburg na Zanzibar, huku ATCL ikiambiwa isifanye safari hiyo kwa maelezo kuwa ni hasara.

    • Kuvuruga upangaji na upanguaji wa ratiba baada ya muda mfupi wa matumizi na hivyo kuleta malalamiko kutoka kwa abiria dhidi ya ATCL nakupelekea abiria wengine kuacha kutumia huduma za ATCL. Kwa mfano, Abiria anaekwenda Mtwara, hulazimishwa kupelekwa hadi Comoro ndipo apelekwe Mtwara, na vilevile kuzuia nafasi ya abiria wa Comoro kwenda Dar
    • Kuibana ATCL kuingia mikataba ya kibiashara na mashirika mengine ya ndege hadi ipate kibali kutoka SA na wakati wote ruhusa imekuwa haitolewi
    • Kuichelewesha ATCL kuingia katika matumizi ya Electronic Tickets: Mashirika yote ya ndege duniani ikiwemo SAA yameanza kutumia tiketi za electronic ambapo kufikia Desemba mwaka 2007 hakutokuwa tena na matumizi ya paper tickets. Moja ya masharti ya mpango huu ni kwa shirika la ndege husika kutumia tiketi zake yenyewe na si za shirika jingine. ATCL imekuwa inacheleweshwa kujiunga na mpango wa tiketi za eletroniki kwa vile SAA inanufaika kwa ATCL kutumia tiketi za SAA (083) na ili ATCL ijiunge na E-ticketing ni lazima iachane na matumizi ya tiketi za SAA, kitendo ambacho SAA haitaki kitokee licha ya juhudi mbalimbali zilizowahi kufanywa na TCAA kuhakikisha kwamba ATCL inatumia tiketi zake (197).
    • Mapato na Matumizi : Asilimia 80 ya mauzo ya ATCL hufanywa na mawakala, kwa kuwa tiketi zitumiwazo ni mali ya SAA, hivyo fedha yote ya mauzo kutoka kwa mawakala ndani na nje ya nchi huhamishiwa Johannesburg katika bank accounts za SAA. Fedha chache za mauzo ya vituo vya ATC House, Mwanza, Arusha, Mtwara na Zanzibar ndizo pekee zinazotumika kulipia huduma zote za uendeshaji wa kampuni isipokuwa kulipia mafuta ya ndege.
    • Kudhoofisha wataalam wa ndani: Kabla ya ubinafsishwaji wa ATC, Shirika lilikuwa na wataalam waliobobea katika nyanja zote, lakini sehemu kubwa ya wataalam hao walilazimika kuondolewa kwa matakwa ya mwekezaji ili kubaki na wafanyakazi wachache. Hata hivyo hao wachache waliobaki waliendelea kuondolewa baada ya mwekezaji kuichukua ATCL. Aidha hapakuwa na mafunzo yeyote yaliyofanywa kuinua na kuendeleza viwango vya taaluma kwa wafanyakazi isipokuwa marubani na wahudumu wa ndani ya ndege tu na kwa mafunzo ambayo ‘mandatory’. Hata hivyo mafunzo hayo yalielekezwa kufanywa na SAA huko Afrika ya Kusini tu. Kwa maana hiyo fedha za mafunzo zilihamishiwa Afrika Kusini (Hizi zilikuwa ni sehemu ya fedha zilizotolewa na SAA kama sehemu ya ununuzi wa hisa za ATCL)
    • Kupoteza Utambulisho wa ATC:
    o Kubadili nembo iliyozoeleka awali na badala yake kuweka nembo inayofanana na ile ya SAA.
    o Kufunga ofisi za ATCL katika vituo vya nje na kulazimisha shughuli za ATCL zifanyike ndani ya ofisi za SAA, lakini bila ya SAA kufunga ofisi zake za Dar na kuhamishia ATC House. Na hata walipoanzisha safari za ndege kati Johannesburg na Zanzibar SAA ilifungua ofisi ya pekee na hawakutumia ofisi za ATCL pale Zanzibar.
    o ATCL ililazimishwa kutumia sare (Uniforms) za SAA na kwa gharama kubwa tena huku zikiingizwa nchini kinyemela bila ya kulipiwa kodi za serikali.
    • Kuongeza gharama zisizo za lazima kwa kampuni:
    o Kwa kuagiza bidhaa kiholela bila ya kufuata taratibu za manunuzi, vifaa ambavyo havihitajiki na vingine vikiwa vimekwisha muda wake wa matumizi. Kwa mfano, uingizwaji wa makontena 14 ya vinywaji ambavyo muda wake wa matumizi umepita. Sahani, vikombe, vibakuli, blanket nk. Vitu vya iliyokuwa South African Airways ya zamani kabla ya Afrika Kusini huru na ambavyo vimeigharimu kampuni na vifaa hivyo havikidhi kabisa viwango vya ATCL. Vitu hivyo vimelundikana na vinafanyiwa mpango wa wakuharibiwa.
    o Kutumia consultants kwa karibu kila jambo na kwa gharama kubwa huku menejimenti ikilipwa mamilioni ya fedha.

    MAJUMUISHO
    Sambamba na yote hapo juu, inaelekea bado hadi sasa kuna nyendo za kichinichini zinazotia mashaka nia njema ya kuwepo kwa ustawi wa kampuni huko mbele tunakokwenda.
    • Kuajiriwa kinyemela kwa wageni kutoka nje ambapo mmoja mwenye asili ya kiasia, aliyewahi kuondolewa nchini na Idara ya Uhamiaji kwa makosa ya kuishi na kufanya kazi kinyume na taratibu za nchi. Lakini mtu huyo amehifadhiwa Nairobi na juhudi zimefanyika kumpatia ofisi na anaendelea kulipwa mshahara, posho za kujikimu, gharama za hoteli, Usafiri wa gari la kukodi nk. Mbali na huyo mwajiriwa mwingine raia wa Kenya ambaye alikuwa aletwe Dar imeshindikana na anafanyia kazi zake kutokea Nairobi pia, wakati ATCL haifanyi safari yeyote Nairobi.
    • Hivi sasa kuna shinikizo la kuanzisha safari kati ya Nairobi na Entebbe na lina hisia ya kutoa faida za kibiashara kwa kampuni ya binafsi ambayo muhusika inaaminika ana uhusiano wa damu na Mkurugenzi wa Biashara wa ATCL ambaye pia ni miongoni mwa ATCL desk officers akiwa SAA katika kitengo cha Strategies & Alliances
    • Aidha Mkurugenzi huyu wa Biashara wa ATCL inaaminika kuhusika na mpango wa kuipatia ndege ya F-28 kampuni ya Zanair ambayo pia inatarajiwa kuhusishwa kibiashara na ATCL katika ratiba mpya inayotarajiwa kuanza Novemba 2006.

    USHAURI
    • Kwa kuwa serikali imerejesha hisa zake zote inashauriwa haraka iwezekavyo kuweka uongozi ambao utasimamia kikamilifu na kwa karibu malengo ya kuwa na Shirika la Ndege la kitaifa ( National Flag Carrier)
    • Ilikuimarisha kifedha kampuni, serikali iiongezee mtaji wa kutosha kampuni sambamba na kuharakisha matumizi ya tiketi zake yenyewe ili kudhibiti mapato badala ya kuendelea kutumia tiketi za SAA
    • Kurejesha shughuli zote nchini ambazo hivi sasa zinafanyika nje ya nchi (SAA – Johannesburg), kwa vile wataalam wazalendo wapo, na kwa kufanya hivyo kutakuza utaalam na kuongeza ajira kwa vijana wengi na wakati huo huo kupunguza gharama za uendeshaji.

    Hivi sasa huyu Rais msanii hajui kinachoendelea ATC, kama kazi imemshinda aachie watu wengine waendeshe nchi. Sio kufanya kazi ya Urais kwa usanii tu na safari nyingi zisizokuwa na faida yoyote kwa taifa.

Watu walikuwa wanafuta safari zilizo scheduled, na kufungua viti vya Boeing 737, na kupakia machungwa na kuyapeleka Maurutius kuyauza. Kampuni ilikuwa inaingia hasara. Pia vitendo vya kufuta safari ili ndege iende Dodoma kumchukua Kawawa, au Malecela enzi hizo, ulikuwa ni uamuzi wa kupumbavu. Siasa na biashara haviendi pamoja. Ndio maana wenzetu wa Nairobi wako mbali kwenye airline industry. Wakenya wanakwenda Amsterdam, na London, kila siku. Na wana mpango wa kwenda Atlanta(USA) moja kwa moja toka Nairobi. Sisi tutabakia tunashikilia mkia tu.
